GTH appoints Kamco, FinCorp as financial advisers for Veon transaction; appoints Andrew Kemp as its new BoD Chairman
Global Telecom Holding (GTH) [GTHE.CA] announced that its BoD has decided, based on the votes of its independent directors (Iskandar Shalaby and Hassan Abdel-Hamid), to appoint KAMCO investment company and Fincorp Investment Holding as independent financial advisers approved by the Financial Regulatory Authority (FRA) to issue their reports on the offer received from Veon, according to a company disclosure. The other directors of the BoD abstained from voting. This comes in line with the local requirement of having an independent financial adviser from the list approved by the FRA. Minority shareholders have also requested the company to hire an international renowned financial institution to support the independent directors in their assessment of the offer. The independent BoD members are currently considering this. The BoD also accepted the resignation of the Chairman of the BoD, and Veon Luxembourg Finance representative, Jon Travis Eddy, and appointed Andrew Scott Kemp as Chairman of the BoD and representative of Veon Luxembourg Finance.
